This End User Licence Agreement (“Agreement”) is a legal agreement between you and Pi by Saharty (“Pi”, “we”, “us”) for the software applications and plug-ins we publish, including any updates, documentation and content supplied with them (the “Software”). By installing, activating or using the Software you agree to this Agreement. If you do not agree, do not install or use the Software.
01 Grant of licence
Subject to this Agreement and payment of any applicable fee, Pi grants you a non-exclusive, non-transferable (except as described in section 3), worldwide licence to install and use the Software on one (1) computer at a time. The Software is licensed, not sold; Pi and its licensors retain all title and ownership.
A licence may be perpetual (a one-time purchase), a subscription (valid while your subscription is active), a trial (time-limited, for evaluation) or a not-for-resale licence issued by us for press, education or promotion.
02 Activation and online licence checks
The Software must be activated with your Pi account before first use. Activation binds the licence to the computer it is activated on using an anonymised machine identifier.
Whenever an internet connection is available, the Software verifies the licence. Without a connection it keeps working with no time limit. If a licence is found active on another computer, or a subscription, trial or licence ends, the Software shows a notice and keeps every feature for at least 24 hours before switching to limited features. Licence checks never interrupt audio or video that is already running.
03 Moving to a new computer
You may move a licence to another computer at any time by releasing it from the current computer — inside the Software or from your account — and activating it on the new one. A released computer shows a notice at its next licence check and keeps every feature for at least 24 hours before switching to limited features.
Self-service transfers are limited to [3] per licence per calendar year; further transfers can be approved by our support team. You may not run one licence on more than one computer at the same time.
04 Free updates
Perpetual licences include updates and new versions of the licensed product free of charge for as long as Pi sells or supports that product line. Subscription licences include all updates while the subscription is active.
Updates may add, change or remove features, and may require a newer operating system. Updates are licensed under this Agreement as in force at the time of the update.
05 Restrictions
Except as expressly permitted by applicable law, you may not:
- copy the Software, except for one backup copy of the installer;
- rent, lease, lend, sell, sublicense or otherwise distribute the Software;
- reverse engineer, decompile, disassemble or attempt to derive source code, models or algorithms from the Software;
- remove, bypass or tamper with activation, licensing or copy-protection features;
- use the Software to build a competing product, or remove proprietary notices.
06 Your work
You own the audio, video, projects and other output you create with the Software. Pi claims no rights in your work. Presets, sample content and templates supplied with the Software may be used in your productions but may not be redistributed as stand-alone content.
07 Trials and not-for-resale licences
Trial licences are for evaluation only, expire automatically at the end of the trial period and may include limitations such as watermarked exports. Not-for-resale licences may not be sold or transferred and may be revoked if misused.
08 Third-party components
The Software may include third-party or open-source components licensed under their own terms, which are listed in the Software’s “About” or credits information. Nothing in this Agreement limits your rights under those licences. Trademarks of third parties belong to their respective owners.
09 Warranty and liability
The Software is provided “as is”. To the maximum extent permitted by law, Pi disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Professional use in live environments should always include appropriate redundancy.
To the maximum extent permitted by law, Pi is not liable for indirect, incidental, special or consequential damages, including loss of data, revenue or profits, or interruption of a performance. Pi’s total liability under this Agreement is limited to the amount you paid for the licence in the twelve months before the claim. Nothing in this Agreement limits liability that cannot be limited by law, or your statutory rights as a consumer.
10 Termination
This Agreement remains in force until terminated. It terminates automatically if you breach it. Subscription licences end when the subscription ends; trial licences end when the trial ends. On termination you must stop using and uninstall the Software. Sections 6, 8, 9 and 11 survive termination.
11 Governing law and contact
This Agreement is governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law rules. Mandatory consumer-protection laws of your country of residence continue to apply where they give you additional rights.
